Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and PerpetualAgile ("we," "us," or "our"). By accessing perpetualagile.com or using our apps, you agree to these Terms. If you do not agree, do not use our services.

PerpetualAgile provides software tools for agile development teams, including apps available through the Atlassian Marketplace (such as SprintVitals) and information published on our website. Features, availability, and supported platforms are described in each app's listing and documentation.

Access to our apps is provided through your Atlassian cloud site and subject to Atlassian's own terms and policies. You are responsible for maintaining the security of accounts under your control and for all activity that occurs through your installations.

Paid apps are offered on a subscription basis through the Atlassian Marketplace unless otherwise stated. Pricing, billing cycles, trials, and renewals are governed by Atlassian's Marketplace terms and the listing for each app. Refund and cancellation policies follow Atlassian Marketplace rules unless we state a different policy in writing.

Free apps are provided at no charge, subject to these Terms and any usage limits described in the product documentation.

You agree not to:

• Use our services in violation of applicable law or third-party rights
• Attempt to gain unauthorized access to our systems, other customers' data, or Atlassian infrastructure
• Reverse engineer, scrape, or interfere with the normal operation of our apps except where permitted by law
• Resell, sublicense, or misrepresent our apps as your own product

PerpetualAgile and its licensors own all rights in our website, apps, branding, documentation, and related materials. We grant you a limited, non-exclusive, non-transferable right to use our apps according to your valid license or subscription. You retain ownership of your data; you grant us the rights necessary to host, process, and display that data solely to provide the services.

Support for our apps is described on our Support page, including response-time commitments for eligible issues. We may update support offerings from time to time.

Our services are provided "as is" and "as available" to the fullest extent permitted by law. We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or meet every requirement of your organization.

To the fullest extent permitted by law, PerpetualAgile will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total liability for any claim arising from these Terms or our services will not exceed the greater of (a) the amount you paid us for the app giving rise to the claim in the twelve months before the claim, or (b) one hundred U.S. dollars (USD $100).

You may stop using our services at any time by uninstalling our apps from your Atlassian site. We may suspend or terminate access if you materially breach these Terms or if required by law. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitations of liability) will survive.

We may modify these Terms by posting an updated version on this page and updating the effective date. Continued use after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using our services.

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. Any dispute will be resolved in the courts located in Delaware, unless applicable law requires otherwise.
